1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Weavix website, pipeline intelligence services, and any related communications or deliverables (collectively, the "Services"). By accessing our website or entering into a service engagement with Weavix, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you ("Client", "you") and Weavix ("we", "us", "our").
2. Description of Services
Weavix provides a closed pipeline intelligence service. This includes the identification, scoring, and delivery of verified commercial opportunity profiles to confirmed clients within an exclusive market allocation model. Specific service scope, deliverables, timelines, and commercial terms are defined in a separate Service Agreement executed between Weavix and each client.
The Services are not a lead generation platform, advertising service, or general marketing tool. Weavix operates as a structured intelligence system with defined intake criteria and allocation controls.
3. Eligibility and Access
Access to the Weavix intelligence pipeline is not open to all applicants. Engagement is subject to:
- —Completion of the pipeline readiness assessment and review by Weavix.
- —Confirmation of market availability — Weavix operates on a one-operator-per-market model.
- —Execution of a Service Agreement defining the scope, duration, and commercial terms of the engagement.
- —Payment of the agreed engagement fee prior to the commencement of intelligence delivery.
Weavix reserves the right to decline any application for access without providing a reason.
4. Exclusivity and Market Allocation
Each confirmed client receives exclusive access to intelligence within their defined market (sector and geography). This exclusivity is structural — no other operator in the same market will receive the same intelligence profiles during the engagement window.
Exclusivity applies to the defined market only. Weavix may serve other clients in adjacent or non-overlapping markets. Market boundaries are defined and agreed upon in the Service Agreement before engagement commences.
5. Intellectual Property
All intelligence profiles, scoring methodologies, pipeline architecture, and system documentation produced by Weavix are the intellectual property of Weavix unless otherwise agreed in writing. Upon payment and delivery, the client receives a non-exclusive, non-transferable licence to use the delivered intelligence profiles for their own internal commercial purposes.
Clients may not resell, redistribute, sublicense, or share Weavix intelligence profiles with third parties without prior written consent.
6. Confidentiality
Both parties agree to treat all non-public information exchanged during the engagement as confidential. This includes, but is not limited to, intelligence profiles, methodology details, pricing, and client-specific pipeline data. Confidentiality obligations survive the termination of the service engagement for a period of 24 months.
7. Limitation of Liability
Weavix provides intelligence based on commercially available signals and verified data sources. We do not guarantee specific commercial outcomes, conversion rates, or revenue results from the use of our intelligence profiles.
To the maximum extent permitted by applicable law, Weavix's total liability to any client for any claim arising from or related to the Services shall not exceed the total fees paid by that client in the 3 months preceding the claim.
Weavix is not liable for indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Services.
8. Termination
Either party may terminate the service engagement in accordance with the terms set out in the Service Agreement. Weavix reserves the right to suspend or terminate access to the Services immediately if a client breaches these Terms or the Service Agreement.
Upon termination, the client's licence to use delivered intelligence profiles continues for the duration originally agreed, subject to the confidentiality obligations in Section 6.
9. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the South African courts.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via our website or directly to active clients. Continued use of the Services after changes are published constitutes acceptance of the updated Terms.
